These Terms & Conditions explain the rules governing access to our website and the general conditions under which our services may be provided.
2. Acceptance of These Terms
By accessing or using this website, you agree to comply with these Terms & Conditions.
If you do not agree with these terms, please discontinue use of the website.
These terms govern general website use. Individual projects and services may also be subject to a separate quotation, proposal, statement of work or signed agreement. Where project-specific terms conflict with these general terms, the agreed project-specific terms will take precedence to the extent of that conflict.
3. Our Services
Rising Ireland Digital provides digital, technology, strategic and creative services, which may include:
(i) Business and digital strategy
(ii) Website design and development
(iii) Custom software, CRM and ERP solutions
(iv) Digital automation and artificial intelligence
(v) Marketing, search optimisation and advertising
(vi) Social media strategy, content creation and management
(vii) Commercial photography and videography
(viii) Branding and creative identity
(ix) Customer growth and performance optimisation
The exact services available for a particular project will be confirmed in the relevant proposal or agreement.
Information on this website is provided for general informational purposes. It does not constitute a binding offer to provide a particular service, and the publication of a service description does not guarantee availability, suitability or a specific outcome.
4. Quotations and Project Agreements
Before work begins, the proposed scope, deliverables, fees, payment schedule and estimated timeline should be agreed in writing.
A quotation is based on the information available when it is prepared. If requirements change, additional work is requested or new information materially affects the scope, a revised quotation or written variation may be required.
No additional work outside the agreed scope will be treated as automatically included in the original price.
5. Fees, Invoicing and Payment
Fees, deposits, milestones, invoice dates and payment deadlines will be specified in the relevant quotation, invoice or project agreement.
Unless expressly stated otherwise, prices will be treated in accordance with the applicable VAT rules and the pricing information provided for the project.
Where an invoice remains unpaid after its due date, we may issue a reminder and, after reasonable notice, suspend affected work or services until the outstanding amount is resolved. Any applicable statutory rights, interest or recovery costs remain subject to the relevant law.
A pause or suspension does not automatically remove payment obligations for work already completed or costs properly incurred under the agreement.
6. Client Responsibilities
Successful projects require clear communication and cooperation. Clients agree to:
(i) Provide accurate and complete project information.
(ii) Supply required materials, content, access and approvals in a timely manner.
(iii) Ensure they have the necessary rights and permissions for materials supplied to us.
(iv) Review deliverables and provide feedback within agreed timeframes.
(v) Ensure instructions and requested uses are lawful.
Delays in receiving information, materials or approvals may affect the project schedule. Where this occurs, revised deadlines or additional costs may be agreed in writing.
Clients remain responsible for the accuracy of information they provide and for obtaining any permissions required for its use.
7. Revisions and Changes
The number of revisions or rounds of changes included in a project will be specified in the proposal where applicable.
Changes outside the agreed scope, substantial redesigns or new requirements may require additional fees and time.
We will explain the effect of material changes before proceeding with chargeable additional work wherever reasonably possible.
8. Timelines and Delivery
Project timelines are estimates unless a specific deadline has been expressly agreed in writing.
We will make reasonable efforts to meet agreed milestones. However, delivery may be affected by circumstances outside our reasonable control, including delayed client feedback, third-party outages, platform changes or supplier delays.
Where a material delay becomes apparent, we will communicate the issue and discuss an appropriate way forward.
9. Intellectual Property
Each party retains ownership of intellectual property it owned before the project began.
Unless a separate agreement states otherwise, ownership of bespoke final deliverables created specifically for a client will transfer to that client once all applicable project fees have been paid in full, to the extent that the rights can legally be transferred.
This does not automatically transfer ownership of:
(i) Pre-existing software, code, tools, frameworks and reusable components.
(ii) Third-party, stock, licensed or open-source materials.
(iii) Fonts, plugins, themes, commercial software or platform components subject to separate licences.
(iv) Internal methods, working processes, templates and know-how.
(v) Unselected concepts, unused designs, raw footage or editable source files not included in the agreed scope.
Where such materials form part of a final deliverable, the client receives the rights or licence permitted by the applicable licence and necessary for the agreed use.
The client is responsible for complying with relevant third-party licence terms. Any transfer of source files, raw media, editable assets or additional intellectual property must be specified in the project agreement.
10. Website, Social Media Content and Copyright
Content published on the Rising Ireland Digital website and official social media channels, including text, photographs, videos, graphics, designs, logos and other creative materials, may be protected by applicable intellectual property and copyright laws.
We may use original content created by or for Rising Ireland Digital, licensed stock photography, stock video, music, graphics, illustrative imagery, AI-assisted materials and other third-party materials. Not every image or visual necessarily represents an actual client, project, employee, location or service. Some materials may be used for illustrative, editorial, demonstration or promotional purposes.
The presence of any material on our website or social media channels does not automatically mean that Rising Ireland Digital owns the copyright or has exclusive rights to that material. Third-party materials remain subject to their respective ownership rights and licensing conditions.
If you are unsure whether a photograph, video, design or other piece of content was created by us, belongs to us, or is available for use, please contact info@risingireland.com before using it. We will clarify the position where reasonably possible.
Unless expressly permitted by applicable law or an appropriate licence, you must obtain our prior written consent before copying, downloading for reuse, reproducing, modifying, distributing, republishing or commercially using content from our website or official social media channels.
Where content belongs to a third party, permission may also be required from the relevant copyright owner or licence holder. Permission granted by Rising Ireland Digital cannot extend to third-party rights that we do not own or have authority to grant.
Sharing content through a platform’s built-in sharing features remains subject to that platform’s rules and does not automatically grant permission to reproduce or commercially reuse the underlying material elsewhere.
For permission requests, copyright enquiries or clarification regarding ownership, please email info@risingireland.com.
11. Third-Party Platforms and Services
Projects may depend on external services such as hosting providers, domain registrars, advertising platforms, social networks, payment providers, plugins, software vendors and AI services.
Those services are subject to their own terms, availability, technical limitations and privacy practices.
Unless expressly included in an agreement, third-party subscriptions, hosting charges, licences, advertising spend and renewal fees are not included in our project fees.
We cannot guarantee the continued availability, pricing or functionality of independent third-party services. Where a third-party change materially affects a project, we will discuss reasonable options where possible.
12. Marketing and Performance Results
Marketing, SEO, social media, advertising and business development depend on numerous factors, including competition, audience behaviour, platform algorithms, budgets, market conditions and client implementation.
We do not guarantee specific search rankings, advertising approvals, sales, enquiries, revenue, followers, conversion rates or business growth unless an express written agreement provides otherwise.
Recommendations and reporting will be based on the agreed scope and available information. Clients remain responsible for business decisions made using such information.
13. Photography, Video and Creative Content
The permitted use, delivery formats, revision allowances, usage rights and handover of photography, video and other creative work will be set out in the relevant agreement.
Clients must obtain necessary permissions and releases for people, locations, trademarks, music and other materials they request us to use, unless expressly agreed otherwise.
Where third-party music, footage, fonts or other licensed assets are used, their licence conditions will continue to apply.
14. Confidentiality and Data Protection
Both parties should take reasonable care to protect confidential information shared in connection with a project.
Where a non-disclosure agreement or separate confidentiality agreement is signed, that agreement will apply according to its terms.
Personal data will be handled in accordance with applicable data protection law and our Privacy Policy. Where we process personal data on a client’s behalf, a separate data processing agreement may be required.
Clients must ensure they have the lawful authority to provide personal data and instructions to us.
15. Acceptable Website Use
You may view and use the website for lawful personal or business purposes. You must not copy, reproduce, distribute, modify or commercially exploit website materials without permission, except where permitted by law.
You must not attempt to disrupt the website, gain unauthorised access to its systems, introduce malicious code, misuse forms or submit unlawful, misleading or infringing content.
We may restrict or suspend access where reasonably necessary to protect the website, users or our legitimate interests.
16. Website and Social Media Accuracy Disclaimer
We make reasonable efforts to keep the information published on our website and official social media channels accurate, relevant and up to date. However, our content is regularly created, revised and updated, and errors, typographical mistakes, omissions or outdated information may occasionally occur.
Accordingly, we do not guarantee that every item of information will always be completely accurate, comprehensive or current. Service descriptions, examples, project details, availability and other published information may change as our business, services and circumstances evolve.
We reserve the right to correct errors, update content, amend service information or remove material when necessary, without prior notice where appropriate.
Website and social media content is provided for general informational purposes and should not always be treated as a definitive statement of a service’s availability, price, scope or contractual terms. Please contact us directly at info@risingireland.com to confirm any important details before relying on them or making a decision.
Nothing in this disclaimer excludes or limits any liability, consumer right or legal obligation that cannot lawfully be excluded or limited under applicable law.
17. Website Availability and External Links
We aim to keep this website accessible. However, we do not guarantee uninterrupted availability or that the website will always be free from technical errors or interruptions.
The website may include links to third-party websites or services. Such links are provided for convenience and do not imply endorsement. We are not responsible for the content, security, availability or privacy practices of independent websites.
18. Limitation of Liability
Nothing in these terms excludes or restricts any liability or statutory right that cannot lawfully be excluded or restricted.
To the extent permitted by law, we will not be liable for losses arising solely from circumstances outside our reasonable control, inaccurate information supplied by a client, a client’s failure to follow agreed instructions, or the actions and availability of independent third-party providers.
For business-to-business projects, any agreed limitation of liability should be set out in the relevant project agreement. Unless specifically agreed, these website terms do not establish a separate monetary liability cap for a project.
Nothing in this section excludes liability for fraud or any other liability that cannot legally be excluded.
19. Consumer Rights
Where a client qualifies as a consumer under applicable law, these terms do not remove or reduce any mandatory consumer rights.
Cancellation rights, remedies, delivery obligations and other legal protections will apply where required by Irish or other applicable consumer law. Any consumer-specific service agreement must set out relevant information, including pricing and cancellation rights, where legally required.
20. Ending a Project or Service
The arrangements for cancellation or termination of a particular service will be set out in the relevant project agreement.
Where a project is ended early, charges for work completed, agreed milestones, authorised expenses and non-cancellable third-party commitments will be handled in accordance with that agreement and applicable law.
Any refund, cancellation or withdrawal rights that apply by law remain unaffected.
21. Changes to These Terms
We may update these Terms & Conditions to reflect changes in our services, website or legal requirements. The latest version will be published on this website with an updated revision date.
Changes to an existing project agreement will be handled in accordance with that agreement and will not automatically amend an already agreed scope or price.
22. Governing Law
These terms are governed by the laws of Ireland, subject to any mandatory legal protections that apply to consumers or other users in their own jurisdiction.
Any dispute should first be raised with us so that the parties can attempt to resolve it constructively. Nothing in this section limits a person’s right to pursue a legal remedy available under applicable law.
